What are the different options for succession and what are the pros/cons of each?

During the presentation, Chuck will explain what business owners in the construction industry can expect when planning for corporate succession. This will begin with an explanation of various alternative methods of succession, including the pros and cons of each method and what needs to be done prior to, during, and following the transition of ownership.

What does an investment banker do, and do you need one? 

Following the introduction of the succession alternatives, the role of investment bankers and other professional service providers will then be explained for each of these alternatives, as well as guidance on the best team of service providers to assemble for each alternative. 

What drives a company’s value? (income- and market-based approaches) 

Valuation methodologies and construction industry valuation trends will then be introduced, with a brief explanation of both income-based and market-based valuation methodologies and current valuation trends based on private M&A transactions and public equity trading prices. This will include discussion on preparing for an optimal exit, including what strategic and financial acquirors are looking for and what business owners can do to maximize their equity event. 

What is the typical timeline and process for selling a company? 

The presentation will conclude with an explanation of a typical M&A process timeline and process overview, as well as what business owners can do before engaging an investment banker to ensure the process runs as smoothly as possible.

Chuck is a Vice President in Houlihan Capital’s Investment Banking group. He is responsible for leading day-to-day transaction execution efforts with a focus on the engineering and construction industry. Chuck has advised on a variety of engagements and transaction types including valuation analyses, buyouts, and strategic M&A.

Prior to joining Houlihan Capital, Mr. Fenske held positions with Pepper Construction, Knoch Construction and most recently with Pease Capital, where he led their valuation practice area and advised on sell- and buy-side transactions.

Additionally, Mr. Fenske held leadership positions with Associated Builders and Contractors (ABC). He served as a National Board Member, Vice Chair of ABC Ohio, and Chapter Chairman for ABC Central Ohio.

Mr. Fenske holds a Master of Business Administration from Case Western Reserve University and a Bachelor of Science in Accounting and Construction Management from The Ohio State University. Mr. Fenske is a Certified Valuation Analyst. As a registered member of FINRA, he currently holds Series 79 and Series 63 certifications.
